Sync the iPad 2 to iTunes on your computer. When you plug the new iPad into your computer iTunes will recognize it as a new device and wii ask you if you want to add it as a new device. From then on just follow the prompts. It's pretty much all automatic.
When finished just erase all content and settings on the old iPad.
