Like all it's predecessor upgrades, iOS5 will need to be downloaded with the then-current version of iTunes, and installed via iTunes on the iPad that you will have just backed up completely.

Future iOS upgrades, however, are expected to be downloadable - as incremental changes - directly to the iPad (that's one of the improvements in iOS 5).
