What version of iOS are you upgrading?  Do you normally sync your iPad with your computer with no problems?  When I had iOS 3.x, it had a bug that a lot of people experienced, where backing up would take hours or days.  I have never had that problem since upgrading to iOS 4.

And, as far as I can tell, the iOS 5 upgrade backup is pretty much the same as normal backups for most people.  If you regularly sync your iPad, then all of your apps should already be transferred onto your computer.  I had an error message during backup on one of my devices, so I had to cancel out of the upgrade.  I was able to go back and do a full sync, and then a regular backup, then skip the iOS 5 backup by clicking the little x next to the status bar, and the upgrade went fine.  I restored using the backup I had just made.  (You MUST do some sort of backup either right before or during the upgrade, to avoid losing data.)

That said, a lot of people are having issues where the upgrade takes hours and hours and hours.  I'm not sure why.  So you could try just letting it sit for a day or so and see if it gets anywhere.
